What the Framework Covers
The UDCAF produces two interlocking legal instruments: a Master Services Agreement that governs the entire commercial relationship, and a Service Order that captures all transaction-specific details for each deployment or service activation.
Master Services Agreement
MSAThe governing contract between Provider and Customer. Establishes all legal, commercial, and operational terms that apply across every Service Order: definitions, service standards, liability caps, indemnification, confidentiality, IP, insurance, dispute resolution, term and termination, and general provisions.
Service Order / Statement of Work
SO / SOWThe transactional instrument executed under the MSA for each deployment. Captures facility and location, service summary, pricing and billing, licensed area specifications, power, cooling, connectivity, remote hands, managed services, acceptance criteria, SLAs, security requirements, contact registers, and special terms.
